¿En qué consiste la visita médica?
La gestión de visita médica consiste basicamente en visitar a los médicos para hablarles de los productos y ofrecimientos del laboratorio. Usualmente se trata de visitas hechas con cita o a una hora en particular cuando el Dr. admite visitadores médicos. Típicamente son visitas muy cortas, que no deben exceder los 5 minutos, pues ese es tiempo que los médicos dejan de producir, y además generalmente hay una fila de visitadores esperando un chance para hablar con el médico.
Los productos de los que se habla al Dr. dependen del portafolio del laboratorio y de la especilidad del médico visitado, siendo común que a los MDs generales e Internistas se los visite para hablar de una variedad más amplia de productos que los MDs que tiene subespecialidad (ej. Cardiólogo, Neumólogo, Urólogo, etc), a quienes por lo general se les habla del portafolio que el laboratorio tenga para su subespecialidad en particular y de cualquier otro producto complementario para el cual se sabe que el MD tiene potencial recetario. Al "repertorio" de productos que constituye la visita se le conoce como "parrilla promocional", y por norma general se dice que no debe tener más de 4 productos, ya que del 5to en adelante se asume que no tiene mayor impacto.
Dentro de la visita, además, hay dos tipos de comunicación de una marca/producto que se le da al MD:
1.- Promoción: En el que el visitador expone al MD argumentos técnico científicos (en el sentido ortodoxo...) sobre el producto, que enteren al MD de las indicaciones que este tiene, así como sus ventajas. El objetivo de este tipo de comunicación, que apenas dura uno o dos minutos es tratar de modificar la intención recetaria del MD. En el mundo, a este tipo de comunicación se le conoce como "Detail".
2.- Recordatorio: Es frecuente que para productos maduros (se les llama así a los productos éticos que ya tienen un buen tiempo en el mercado, y que son conocidos como marca y en sus atributos; Estas son las marcas de toda la vida, las que a uno le recomienda cualquier persona o el dependiente de farmacia), se haga simplemente una mención al final de la visita, en la que por lo general se entrega al MD algún objeto con la marca. Es el equivalente a hacer presencia de marca, a mantenerla en el top of mind del MD, donde la comunicación no es más que la imagen de marca misma. En el mundo esto se conoce como "Reminder".
Una visita al MD entonces, puede contener varios "Details", y uno o varios "Reminders". La vista per se, se conoce en el mundo como "Call".
Adicionalmente, durante la visita, y generalmente para las marcas en las que se hace fuerza promocional, los visitadores le entregan pequeños obsequios a los MDs. Estos van desde lapiceros, tacos de notas, cuadernos, hasta lo que las diferentes normativas lo permitan. A estos "regalos" se les conoce como "Gimmicks". En el caso de los laboratorios multinacionales, que están agremiados en AFIDRO, existe una suerte de normas internas sobre los Gimmicks, dentro de las cuales recuerdo ahora que: Todo obsequio debe ser para uso del MD en su gestión profesional y en el consultorio (por ejemplo, no se puede regalar un paraguas ...), y además existe un tope máximo de precio del gimmick, que no tengo presente en este momento.
Finalmente, aparte de los gimmicks, los visitadores entregan a los MDs muestra médica de las marcas que promueven. La intención de esta muestra médica (cuya venta es prohibida, y que generalmente consta de presentaciones pequeñas) es que el MD pueda iniciar un tratamiento en un paciente con la muestra, haciendo que el paciente deba comprar el medicamente restante para completar dicho tratamiento. Por supuesto que repartir muestra médica tiene el trade off de dejar de vender el equivalente a la porción obsequiada.
¿A quién se visita?
La selección de los MDs a visitar se conoce en la industria como el proceso de "Targeting". Generalmente se seleccionan los MDs que tengan potencial recetario para los productos del laboratorio.
La selección de los MDs ó Targeting generalmente se hace usando auditorías de recetas, como la que provee una empresa Argentina llamada Close Up. Dicha auditoría es un estudio de mercados longitudinal, en el que se capturan las fórmulas médicas mediante fotocopia, escaner, cámara digital, microfilm, entre otros, cuando estas son pasadas al dependiente de la farmacia (naturalmente, en las farmacias donde Close Up tiene convenio; Por lo general tratan de ubicarse en farmacias reconocidas y de alto tráfico). La base de datos levantada a partir de las recetas capturadas en farmacias es procesada, y vendida a los laboratorios. En esta se puede monitorear, por cada MD, las recetas que de este fueron capturadas, pudiéndose conocer qué medicamentos prescribe el MD.
Si bien la auditoría de Close Up parte de un muestreo aleatoreo, y el número de recetas obtenidas de un MD es por ende una fracción de las recetas que este genera, sí es posible establecer con base en estos datos el potencial recetario de cada MD para un determinado tipo de medicamentos.
La forma como cada laboratorio utiliza la información proveída por Close Up para establecer el potencial recetario de los MDs hace parte del know-how particular de cada compañía. De todos modos, Close Up categoriza a los MDs en quintiles dependiendo de la cantidad de recetas que estos generan. Algunas compañías emplean directamente la categorización por quintiles de Close Up para segmentar los MDs y definir a cuales van a visitar.
Otras forma de segmentación de MDs para Targeting es a través de encuestas donde se indagan factores clave como cuantos pacientes por semana ve el MD, cuáles son las patologías que atiende típicamente y en qué porcentajes, estratos socioeconómicos de los pacientes, tipo de afiliación a los sistemas de salud, etc. De los resultados de estas encuestas también pueden obtenerse segmentos útiles para desarrollar estrategias de marca.
¿Cuántas veces se visita al MD?
El número de veces que se visita a un MD durante el año, o durante el mes (depende de como se mire) se le conoce como "frecuencia". Tipicamente los laboratorios definen frecuencias de visita que van entre 1 y 4 veces al mes, siendo 4 (una vez por semana) una frecuencia más vale alta y que se usa más que todo en mercados/productos donde hay un gran componente de innovación que ameritan una mayor comunicación con los MDs.
Para establecer la asignación de frecuencias, los laboratorios establecen segmentos de MDs para cada una de sus marcas/líneas (generalmente establecidos a partir de Close Up, entre otros); A cada segmento le es asignada una frecuencia tipo de visita.
El papel del CRM
Como describo arriba, la visita médica es un claro caso de mercadeo 1 a 1, donde al menos se generan estrategias y niveles de atención diferenciados por segmentos. Sin embargo, se hace necesario implementar una iniciativa de CRM para administrar las relaciones con cada uno de los MDs, para poder establecer necesidades particulares y poder brindar una atención personalizada, y para poder hacer una medición de resultados de las estrategias aplicadas a cada MD. Es usual en la industria que a los MDs se los patrocine para asistir a congresos internacionales de su especialidad, o para diversos programas de educación continuada. Dichas actividades son administradas a través de un sistema de CRM, y son monitoreadas a través de herramientas como Close Up para determinar si el apoyo al MD ha producido o no retorno en forma de recetas para la marca del laboratorio (Generalmente se hacen acuerdos con los MDs en los que en contraprestación por el apoyo brindado, los MDs se comprometen a generar un cierto número de recetas para la marca).

Oppotunity Recognition
Ideas has no value by themselves. Ideas have to be realistic, have to respond to some customer's needs; have to be implemented to become any valuable venture.
There are three terms to opportunity recognition:
1.- Market Demand:
If there is demand for a specific need, and you can identify who are the potential customers, there's an existing demand. Alternatively, you can create demand (i.e. Microsoft operating systems, the invention of Copy Machine, etc.)
2.- Market Size and Structure
The way markets are structured. This considers the people, the industries that comform the surrounding environment, etc.
3.- Margin Analysis
Gross Sales
Less Cost of Goods Sold (COGS)
Less Fixed and Variable costs
Equals EBITDA = NOI (Net Operating Income)
Exit Strategy
Options include:
1.- Closure
This means to close and loose all the value built over the existence of the venture.
2.- Sell:

This includes that the acquiror makes the entreprenuer to sign a non-competition agreement, while the may also make you stay at the management for a few years.
Also when you sale you may want to be payed in cash for you company; Payments in stock of privately help companies are not easy to valuate.
b.-To a publicly traded company
In the U.S. the security exchange commision may make you get Letter stock, which can't be sold for at least two years. A possibility is to hedge the stock (taking the risk out), where a hedging company guarantees that they'll buy your stock at not less than certain amount, but at no more than other certain amount (if stock price rises above the top amount, the hedging company keeps the difference).
c.-Through a Management Buy Out
When management buys the company obtaining credit from a bank, the creditors, and/or the seller.
d.- Employee Stock Ownership Plan - ESOP
Employees buy the company paying with their salaries. It usually takes long time, as employees gradually acquire the whole company.

You have to be big for this (in the U.S. at least as 30 million yearly EBITDA), so that the process' cost is worthed.

Notes on macroeconomic stability
Inflation can be foreseen by watching inventory levels. When inventory levels (at all industries in general) consumers are buying less, so production will have to stop at any time, so will the raw materials sales, and so on through all value chains. This generates recession and therefore deflation. The opposite applies to inflation.

Terminal Valuation Method
TV = {EBITDA (At year N+1)} / {Cap. Rate % - Growth %}
In this formula, growth rate is discounted from capitalization rate, so that growth is taken into account. Otherway, the growth of the company during the last holding year wouldn't be considered. A conservative buyer may want to valuate the company without considering growth during last year.
It is important to note that only a stable growth rate may be considered, as it is taken as a forecast of growth for the upcoming year. Unstable growth rates, as well as initial growths of the first years of a venture, don't make sense as a growth forecast.
Capitalization Rate equals EBITDA divided by Price
There are three methods to give a terminal valuation of a company.
1.- Component Method
Rate of return equals Return ON investment + Return OF investment (see professor's notes). It is similar to calculate de return rate of investment using EBITDA but adding Depreciation.
Return On investment splits into three, the risk free rate + a inflation premium + a business risk rate
2.- Extraction from the Market - (No Growth)
This method implies to take information from the market, and use as capitalization rates that apply for similar companies (an average, or a rate of a similar EBITDA company). The problem with this is the difficulty to get the data.
This is supposed to be the most reliable method, if information can be gathered.
3.- Band of Investment
The value of a company is the value of the equity + value of the debt

Debt Vehicles
Evidenced by the Mortgage and Note; The Note is the evidence of indebtness; The mortgage is the evidence of collateral on the debt. They are recorded in the court house (public record)
The order in the chronology of recordation in public records establishes the seniority of a claim.
There is obligation to service debt (guaranty), with an amount and timming. In case of default, lender has foreclosure rights. If there is a deficiency, in auction proceeds. Debt Vehicles
Evidenced by the Mortgage and Note; The Note is the evidence of indebtness; The mortgage is the evidence of collateral on the debt. They are recorded in the court house (public record)
The order in the chronology of recordation in public records establishes the seniority of a claim.
There is obligation to service debt (guaranty), with an amount and timming. In case of default, lender has foreclosure rights. If there is a deficiency, in auction proceeds. A deficiency judgement ensues if personally guaranteed (in personam). No deficiency judgement is loan is non-recourse, therefore the lender is a beneficial owner.
Equity vehicles
Evidenced by title (real estate) or security interest (shares); At most preferred return, not guaranteed. No foreclosure rights for equity investor, therefore, the equity investor is a residual owner. The vehicles for equity are (nine):
- Propietorship - you own a property on your own name (Individual ownership); Individual tax payer and full liability
- Concurrent ownership - Two or more individuals own vehicle; Individual tax payer and full liability
- General partnership - Individual taxation, full liability
- Joint venture - also called strategic alliances
- C Corporation - Constituted under subchapter C of Internal Revenue Code. Corporation is the tax paying entity and there is no liability to shareholders beyond capital contribution. Dividends are not deductible to neither the corporation nor the shareholders. Shareholders manage the company through a board of directors, which conducts corporate management. It has indefinite life. In this kind of corporations there is free transferability of ownership, although this can be restricted by a shareholder's agreement)
- S Corporation - Does not pay federal taxes; Individual shareholders pay taxes (so there si no double taxation). Limited Liability.
- Limited Liability Company (LLC) - It has members instead of shareholders. Individual pay taxes, and there is limited liability. Does not pay corporate franchise tax (in Lousiana).
- Limited Partnership - Individual is the tax payer, and there is limited liability to limited partners; There is a General Partner who is liable. This kind of vehicle is not used anymore.
- Real Estate Investment Trust - Limited liability, and individuals tax payer.
